Agreement to our legal terms
We are ClinicalFindr ("Company," "we," "us," "our"). We operate the website https://clinicalfindr.com (the "Site") and any related services that refer or link to these legal terms (collectively, the "Services"). You can contact us through our contact form or by mail at the address in the "Contact us" section below.
These Terms of Use ("Legal Terms") are a legally binding agreement between you and ClinicalFindr concerning your access to and use of the Services. By accessing the Services you confirm that you have read, understood, and agree to be bound by these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, YOU MUST DISCONTINUE USE IMMEDIATELY.
We may change these Legal Terms at any time by updating the "Last updated" date. Your continued use after a change means you accept it. The Services are intended for users who are at least 18 years old; a parent or legal guardian may use the Services on behalf of a minor for studies that enroll minors.
1. Our Services
ClinicalFindr is an advertising and referral service. We help you find clinical research studies and other opportunities you may qualify for and connect you with the organizations that run them. We are not a healthcare provider, research sponsor, clinical site, or government agency. We do not conduct clinical trials, provide medical advice, diagnose or treat any condition, or guarantee enrollment or compensation. Eligibility, enrollment, and any compensation are determined solely by each study's research team. Nothing on the Services is medical advice; consult a licensed professional about your health. The Services are not tailored to comply with industry-specific regulations such as HIPAA.
2. Compensation and advertising disclosure
We may be paid by the studies, sponsors, recruitment partners, and advertisers we refer you to when you connect with them. This compensation may affect which opportunities appear and how they are ordered. Compensation amounts shown for studies are illustrative and vary by study. See our Advertising Disclosure.
3. Your information and consent to be contacted
By submitting our form you represent that the information you provide is true, complete, and accurate, and you agree to our Privacy Policy and Consumer Health Data Privacy Policy. When you check the consent box and provide a mobile number, you give the express written consent described at the point of collection for ClinicalFindr and its marketing partners to contact you at that number with marketing calls and text messages, including through an automatic telephone dialing system and prerecorded or artificial voice messages, even if your number is on a Do Not Call registry. Consent is not a condition of using the Services; providing a mobile number is optional. Message and data rates may apply; message frequency varies. Reply STOP to opt out of texts, or ask to be removed during any call.
4. Intellectual property
We own or license all intellectual property in the Services, including source code, designs, text, graphics, and the trademarks and logos displayed ("Content" and "Marks"). Subject to these Legal Terms we grant you a non-exclusive, non-transferable, revocable license to access the Services for your personal, non-commercial use. No other use of the Content or Marks is permitted without our prior written permission. Any feedback you send us may be used without compensation or acknowledgment.
5. User representations and prohibited activities
You represent that you have the legal capacity to agree to these Legal Terms, that you will not access the Services by automated means, and that your use will comply with applicable law. You agree not to: scrape or systematically retrieve data from the Services; circumvent security features; upload malicious code; use the Services to harass or harm others; impersonate anyone; attempt to reverse engineer the Services; use the Services for any commercial purpose we have not approved; or submit false or misleading information.
6. Third-party websites and content
The Services link to third-party websites (including the studies and partners you choose). We do not investigate or monitor them and are not responsible for their content, accuracy, or privacy practices. When you leave the Services these Legal Terms no longer govern; review each third party's terms and privacy policy. Any transaction with a third party is solely between you and that party.
7. Services management; term and termination
We may monitor the Services for violations, take legal action against violators, and refuse or restrict access to anyone for any reason, without notice or liability. We may change, suspend, or discontinue the Services at any time, and we are not liable for any interruption, downtime, or discontinuance.
8. Governing law and dispute resolution
These Legal Terms are governed by the laws of the State of [State pending legal review], without regard to conflict-of-law principles. Before initiating any formal proceeding you agree to first attempt to resolve any dispute informally by contacting us and allowing at least thirty (30) days for a response. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT, THE AVAILABILITY OF ANY STUDY, YOUR ELIGIBILITY FOR ANY STUDY, OR ANY COMPENSATION, AND WE DO NOT ENDORSE OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE OFFERED BY A THIRD PARTY THROUGH THE SERVICES.
10. Limitation of liability
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO ONE HUNDRED U.S. DOLLARS ($100). SOME STATE LAWS DO NOT ALLOW THESE LIMITATIONS; IF THEY APPLY TO YOU, SOME OF THE ABOVE MAY NOT APPLY AND YOU MAY HAVE ADDITIONAL RIGHTS.
11. Indemnification
You agree to defend, indemnify, and hold us and our affiliates, officers, agents, partners, and employees harmless from any loss, damage, liability, claim, or demand, including reasonable attorneys' fees, arising out of your use of the Services, your breach of these Legal Terms, or your violation of any law or the rights of a third party.
12. Electronic communications and signatures
Visiting the Services and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communication be in writing. You agree to the use of electronic signatures and records.
13. California users and residents

14. Miscellaneous
These Legal Terms and the policies posted on the Services constitute the entire agreement between you and us. Our failure to enforce any provision is not a waiver. We may assign our rights and obligations at any time. If any provision is unenforceable it is severable and the remainder stays in effect. No joint venture, partnership, employment, or agency relationship is created by these Legal Terms or your use of the Services.
